These Terms of Use (hereafter referred to as the “Terms of Use”) set out the conditions for use of the translation/interpretation services that QuickHelpJapan Inc. (hereafter referred to as the “Company”) provides on the website at http://www. quickhelpjapan.com/ (hereafter referred to as the “Website”) or through other tools that use electromagnetic records (such services hereafter referred to as the “Services”). Registered users (hereafter referred to as the “Registered User”) will be required to follow these Terms of Use when using the Services.
Article 1. Applicability
These Terms of Use are applicable to any and all relations between the User and the Company with respect to the use of the Services.
Article 2. Registration for Use
1. Registration for the use of the Services is completed when an applicant applies for registration in a manner prescribed by the Company and the Company approves the registration.
2. If the Company determines that any of the causes below applies to the applicant, the Company may deny the application for registration of such an applicant. The Company is under no obligation to disclose any information about the reason for such denial.
(1) The applicant provides false information in the application.
(2) The applicant has breached these Terms of Use before.
(3) For other reasons the Company determines that registration of the applicant will not be appropriate.
Article 3. Management of User ID and Password
1. The User will, at its own responsibility, manage the User’s user ID and password of the Services.
2. The User may not, under any circumstances, assign or loan the User’s user ID or password to any third party.
3. When a login is completed as a result of a match between the user ID/password combination and the registered user ID/password, the Company will deem that the User who has registered that user ID is using the Services.
Article 4. Service Fees and Payment Method
1. As consideration for the registration and use of the Services, the User will pay the Company’s prescribed service fees that are displayed on the Website in a manner prescribed by the Company. If the User has selected the monthly billing plan, the User will pay the prescribed basic monthly service fees regardless of whether or not such a User has actually used the Services.
2. If the User makes delayed payment of the service fees, the User will additionally pay a late damage calculated at the rate of 14.6 percent per annum of the service fees.
Article 5. Prohibitions
The User is prohibited from engaging in any of the following acts when using the Services:
(1) Violation of any law, ordinance, or public morality;
(2) Any crime-related acts;
(3) Destruction of or interference in the Company’s servers or network functions;
(4) Any acts that may interfere with the Company’s operation of the Services;
(5) Collection or accumulation of other Users’ personal information, etc.;
(6) Any act of pretending or purporting to be another User;
(7) Directly or indirectly providing benefits to antisocial forces in relation to the Company’s Services; and
(8) Other acts that the Company deems inappropriate.
Article 6. Suspension of the Services, Etc.
1. If the Company determines that there is a cause shown below, the Company may terminate or suspend all or part of the Services without notifying the Users in advance.
(1) When conducting a maintenance check or update of the computer system used for the Services.
(2) When a force majeure event such as earthquake, lightning, fire, power outage, or natural disaster, makes it difficult to provide the Services.
(3) When an accident causes computers, telecommunication lines, etc. to stop working.
(4) When for other reason the Company deems it difficult to provide the Services.
2. The Company is not liable for any disadvantage or damage for whatever reason suffered by the User or any third party as a result of termination or suspension of the Services.
Article 7. Restriction of Use and Cancellation of Registration
1. In the event of the any of the following, the Company may, without advance notification, limit the User’s use of the Services wholly or in part or cancel the User’s registration:
(1) The User breaches any provision of these Terms of Use;
(2) It becomes apparent that the User had provided false information when registering for the use of the Services; or
(3) For other reasons, the Company determines that the use of the Services by the User is inappropriate.
2. The Company is not liable for any damage suffered by the User for any action taken by the Company pursuant to the provisions of this Article 7.
Article 8. Limitation of Liability
1. The Company will be liable for default only when such default is committed intentionally by the Company or through gloss negligence of the Company in relation to the Services. In all other instances, the Company will not be held liable.
2. If the Company is held liable pursuant to the provision of the preceding paragraph or for any other reason, the Company will be liable for damages only within the scope of general damages in all cases and for paid services, within the scope of the amount of payment made by the User (equivalent to a month’s service fees for continuous services).
3. The Company is not liable for any transactions, communication, disputes, etc. that may occur between the Users or between the User and any third party in relation to the Services.
4. The Services provided by the Company are limited to interpretation/translation between Japanese and a specified language. The Company is not liable for any conversations between the User and other parties to the conversations, the contents of displayed messages, or the accuracy, validity, appropriateness, etc. of such contents. In particular, if the User is contemplating receiving services (by way of example, healthcare services) or products from another party in exchange for payment of consideration therefor, the Company is not liable in any way for the contents, etc. of such services or products.
Article 9. Change to the Contents of the Services, Etc.
The Company may change the contents of the Services or suspend provision of the Services without notifying the Users. The Company will not be liable for any damage suffered by any User as a result of such change or suspension.
Article 10. Revision of the Terms of Use
If judged as necessary by the Company, the Company may revise these Terms of Use at any time without notifying the Users.
Article 11. Notification and Communication
Any notification or communication between the Users and the Company will be made in accordance with the method specified by the Company.
Article 12. No Assignment of Rights and Obligations
The User may not, without the prior written consent of the Company, assign or pledge the status granted under these Terms of Use or any right or obligation arising from these Terms of Use to any third party.
Article 13. Governing Law and Court of Competent Jurisdiction
These Terms of Use will be governed by and construed in accordance with the laws of Japan.
Any dispute arising in relation to the Services will be subject to the exclusive jurisdiction of the competent court in the location of the Company’s head office.
